Position: Company Secretary (CS) Experience: Minimum 2 years in a Public Limited Company Location: Noida Qualifications: Bachelors degree in Law, Commerce, or a related field is preferred Key Responsibilities: Ensure compliance with statutory requirements, including the Companies Act, SEBI regulations, and other relevant laws. Prepare and file statutory forms, returns, and documents with regulatory authorities (RoC, SEBI). Maintain and update statutory registers, including the Register of Members and Directors. Organize and prepare agendas, notices, and minutes for Board meetings, AGMs, and other committee meetings. Provide advice on corporate governance practices and compliance with legal obligations. Handle timely submission of annual reports, financial statements, and other required documents. Advise the Board on roles, responsibilities, fiduciary duties, and conflict of interest management. Ensure best practices in corporate governance, maintaining transparency and accountability. Act as a point of contact between the company and shareholders, addressing queries effectively. Assist in the preparation of shareholder communications, including annual reports. Liaise with external legal advisors to protect the companys legal interests.
